01 Grant of License & Deployment Models

Subject to the terms and payment of applicable fees, Terrion AI Solutions LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software (Knowledge AI, Terrion Flow, CloudLens, Guard, Ops, and DataBridge AI).

The deployment model is defined by your purchase:

• Single-Tenant Cloud Nodes: Hosted and managed by Terrion AI on AWS.
• Private AWS VPC Deployments: Provisioned within your AWS account via Terraform modules.
• AWS Marketplace: Governed by the standard AWS Marketplace End User License Agreement, with entitlement validated via the AWS Metering API.

02 License Tiers, Seat Allotments & Query Quotas

Your license is bound by strict usage quotas based on your subscription tier:

• Starter Node: Up to 5 administrator seats and 25,000 monthly workflow/search queries.
• Growth Pro: Up to 25 seats and 250,000 monthly queries.
• Enterprise Core: Custom seat allotment and unlimited queries, subject to fair-use computational thresholds.

Exceeding these quotas without upgrading your subscription may result in API throttling or service suspension.

03 One-Time Perpetual Deployment & IaC Rights

If you have purchased a One-Time Perpetual Deployment, you are granted a perpetual, non-exclusive license to deploy and modify the delivered container images and Terraform modules exclusively inside your designated corporate VPC.

You may not sublicense, distribute, or commercially resell the deployed software or Terraform modules to any third party or affiliated entity outside your organization.

04 License Restrictions & Prohibited Conduct

You agree not to:

• Reverse engineer, decompile, or disassemble the Software's proprietary core, except as permitted by law.
• Sublicense, time-share, or provide service bureau access to the Software.
• Scrape, crawl, or extract data from the Software to build a competing foundational AI wrapper or commercial product.
• Remove or obscure any copyright, trademark, or proprietary notices from the Software.

05 Intellectual Property & Customer Data Sovereignty

Terrion AI Ownership: Terrion AI retains all rights, title, and interest in the Software engines, UI, pre-built connectors, and algorithms.

Customer Ownership: Licensee retains 100% ownership of all ingested datasets, vector embeddings, prompts, and outputs. Terrion AI enforces a strict Zero-Model-Training Guarantee, ensuring customer data is never used to train public foundational models.

06 API Keys, Telemetry & Entitlement Verification

The Software utilizes cryptographic license tokens and heartbeat telemetry to verify entitlements (especially for AWS Marketplace deployments). You are strictly prohibited from sharing root credentials, API keys, or license tokens across unrelated legal entities. Terrion AI reserves the right to disable compromised tokens.

07 Software Updates, Patches & Version Lifecycle

Managed Cloud Subscriptions: Receive automatic, zero-downtime updates and security patches.

Self-Hosted VPC Licenses: Terrion AI will deliver release notes and security patches via your designated repository. The customer is responsible for applying these patches within the VPC environment.

08 Third-Party & Open-Source Components

Certain connectors or runtimes included within the Software may incorporate open-source libraries (e.g., MIT or Apache 2.0). These are provided "as is" and do not restrict your proprietary code. A full list of open-source attributions is available upon request.

09 Telemetry Verification & Compliance Audits

Terrion AI reserves the right to perform automated quota metering and non-invasive compliance verification to ensure adherence to license tiers. In the event of an audit, you agree to provide reasonable access to usage logs upon 14 days' notice.

10 Limited Warranty, Disclaimers & Limitation of Liability

Terrion AI warrants that the Software will substantially conform to its documentation for 90 days from deployment. EXCEPT AS EXPRESSLY PROVIDED, THE SOFTWARE IS PROVIDED "AS IS".

LIABILITY CAP: To the maximum extent permitted by law, Terrion AI's total cumulative liability shall not exceed the total amount of license fees paid by the Customer in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11 US Export Control & OFAC Compliance

The Software is subject to US export control laws. You agree not to export, re-export, or provision the Software into any US-embargoed jurisdictions or to any individuals/entities on the OFAC Specially Designated Nationals (SDN) list.

12 Termination, Survival & Governing Law

This EULA is governed by the laws of the State of Indiana, USA, with exclusive jurisdiction in Marion County. Terrion AI may terminate this license immediately upon breach or non-payment. Sections regarding IP ownership, disclaimers, and liability survive termination.
