01 Definitions & Scope of Services

These Master Terms of Service ("Terms") govern the access and use of all software, platforms, and engineering services provided by Terrion AI Solutions LLC ("Terrion," "we," "us," or "our"), an Indiana Limited Liability Company.

The "Services" include our Modular SaaS Suite (Knowledge AI, Terrion Flow, CloudLens FinOps, Terrion Guard, Terrion Ops, DataBridge AI), subscription tiers (Starter Node, Growth Pro, Enterprise Core), and any Bespoke AWS Cloud Engineering Services performed under a Statement of Work (SOW).

02 Account Registration, B2B Eligibility & Provisioning

To use the Services, you must be a business entity or an authorized representative of one, and be at least 18 years of age. You agree to provide accurate, current, and complete information during the registration process (including AWS Account IDs and Website URLs).

You are solely responsible for maintaining the confidentiality of your root administrator credentials, API keys, and IAM role configurations. Terrion AI shall not be liable for any unauthorized access resulting from your failure to secure these credentials.

03 Subscriptions, Billing Cycles & AWS Marketplace

Subscriptions: SaaS modules are billed on a recurring monthly basis or an annual basis (with a 20% discount lock-in). Subscriptions automatically renew unless canceled via the client portal prior to the next billing cycle.

One-Time Deployment: Perpetual licenses are billed once and include a fixed-scope deployment. Ongoing support and updates require a separate maintenance agreement.

AWS Marketplace: If procured via AWS Marketplace, billing is managed by Amazon Web Services and consolidated into your AWS invoice. Terrion AI reserves the right to verify entitlement tokens via the AWS Entitlement API.

All fees are exclusive of applicable taxes (e.g., VAT, sales tax), which you agree to pay.

04 Custom Cloud Engineering, Migration & SOWs

Custom AWS engineering, migration, and Managed DevOps/SRE services require a mutually executed Statement of Work (SOW). The SOW will define the fixed-scope deliverables, milestones, and access prerequisites (e.g., Cross-Account IAM Roles).

Milestone acceptance is required within 5 business days. If no feedback is provided, the milestone is deemed accepted. Client delays in providing VPC access may result in timeline extensions.

05 Intellectual Property Rights & Customer Data

Customer Data: You retain 100% ownership of all data, documents, prompts, RAG vector embeddings, and outputs processed through the Services. Terrion AI claims no ownership over your proprietary intelligence.

Terrion AI IP: We retain all rights, title, and interest in the core platform engines, pre-built connectors, proprietary algorithms, source code, and UI/UX designs. You are granted a limited, non-exclusive, non-transferable license to use the SaaS modules during your subscription term.

06 Acceptable Use Policy & AI Safety

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the platform.
• Conduct unauthorized load testing or penetration testing without prior written consent.
• Use the Services for illegal activities, malware distribution, or generating harmful content.
• Attempt to bypass Terrion Guard security filters, PII redaction, or prompt injection firewalls.

07 Mutual Confidentiality & Non-Disclosure

Each party agrees to protect the other's confidential information (including architecture blueprints, source code, API keys, pricing quotes, and proprietary business data) with at least a reasonable degree of care. Confidentiality obligations shall survive termination for a period of three (3) years.

08 Uptime Guarantees & Service Level Agreements

Terrion AI offers uptime commitments based on your subscription tier: 99.0% (Starter), 99.9% (Growth Pro), and 99.99% (Enterprise Core). If we fail to meet these commitments, you are entitled to service credits as defined in our SLA Matrix. Service credits are your sole and exclusive remedy for any SLA breach.

09 Warranties & Disclaimers

Terrion AI warrants that the Services will be performed in a professional and workmanlike manner. However, EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." We disclaim all warranties, including fitness for a particular purpose. You acknowledge that AI/LLM outputs are stochastic and may contain inaccuracies, and that third-party cloud provider (AWS) outages are beyond our reasonable control.

10 Mutual Indemnification

By Terrion AI: We will defend and indemnify you against any third-party claim alleging that the Terrion AI platform infringes upon a US patent, copyright, or trademark.

By Customer: You will defend and indemnify Terrion AI against any claim arising from your unlawful Customer Data, violation of the Acceptable Use Policy, or breach of applicable laws.

11 Limitation of Liability

IN NO EVENT SHALL TERRION AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION).

TOTAL CUMULATIVE LIABILITY CAP: Terrion AI's total cumulative liability arising out of or related to this Agreement shall not exceed the total amount paid by the Customer to Terrion AI Solutions LLC in the twelve (12) months immediately preceding the event giving rise to the claim.

12 Term, Suspension & Termination

These Terms remain in effect until terminated. You may terminate your subscription at any time via the client portal (with effect from the next billing cycle). We may suspend or terminate your access immediately for material breach, non-payment, or violation of the AUP.

Upon termination, you will have a 30-day data export window to retrieve your data. After 30 days, we will execute a cryptographic purge of your vector indexes and storage as outlined in our Privacy Policy.

13 Governing Law, Dispute Resolution & Notices

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, USA, without regard to conflict of law principles. The exclusive venue for any dispute shall be the state or federal courts located in Marion County (Indianapolis), Indiana.
